4. Role as Referrer and Facilitator
a) Our role is limited to:

We do not endorse, warrant, or guarantee the services of any professional, advisor, or facilitator introduced. All due diligence on third parties remains the sole responsibility of the client. All transactions, projects, and financial engagements are facilitated through registered legal advisors and licensed entities, who bear the responsibility for execution and regulatory compliance.b) Referral Fees and Benefits:
Oro Property Connect may, from time to time, receive referral fees, commissions, or other commercial benefits from third parties (such as developers, consultants, or service providers) introduced through our network. Any such arrangements will not influence the information provided by Oro Property Connect, and clients remain responsible for making their own independent assessment of any third party.
Clients are entitled to request disclosure of any referral fee or commission arrangement that may apply to an opportunity introduced by Oro Property Connect.5. No Handling of Client Funds
Oro Property Connect does not receive, hold, or manage client funds at any stage of the engagement. All financial transactions and fund transfers are conducted exclusively through independent legal or licensed third-party professionals.
a) AML/CTF Compliance Disclaimer:
Oro Property Connect does not conduct Anti-Money Laundering (AML) or Counter-Terrorism Financing (CTF) checks and is not registered as a reporting entity under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth). All investors introduced by Oro Property Connect are required to complete AML/CTF due diligence and verification through licensed third parties (including legal professionals, financial institutions, or project managers). Clients acknowledge that it is their sole responsibility to provide accurate identification and comply with relevant AML/CTF requirements prior to participating in any opportunity.6. Binding Agreements
All client interactions with Oro Property Connect are formalised through mutually agreed, signed, and legally binding agreements. These documents form the foundation of our engagements and ensure that both parties - Oro Property Connect and the client - understand and acknowledge their respective roles, responsibilities, and limitations.
In the event of any inconsistency between this disclaimer and a signed agreement, the terms of the signed agreement prevail.
Such agreements may include, but are not limited to:
i. Referral or introduction agreements

Clients are encouraged to review all documents carefully and are entitled - and advised - to seek independent legal advice prior to execution. Oro Property Connect does not proceed with any opportunity or engagement without an appropriate agreement in place.

Oro Property Connect facilitates the introduction of curated property and investment-related opportunities through its network of consultants, developers, and legal professionals. However, we do not make, imply, or endorse any guarantees of performance, success, or financial return from any opportunity presented.
Real estate development and private capital investment inherently involve a wide range of risks, including but not limited to:
i. Market volatility and demand shifts
ii. Regulatory changes
iii. Cost overruns and construction delays
iv. Partnership or contractual disputes
v. Exit strategy uncertainties

19A. Force Majeure
In line with the above acknowledgement, any formal agreement with Oro Property Connect will include a Force Majeure clause. This clause stipulates that Oro Property Connect shall not be liable for any failure or delay in performing its obligations under any agreement, or in providing access to referred opportunities, where such failure or delay results from events beyond our reasonable control (including but not limited to acts of God, pandemics, government restrictions, war, strikes, cyberattacks, or supply chain disruptions).

Participation in the Referrer program does not guarantee acceptance of a lead or payment of a commission. Referral compensation is payable only after (i) Oro formally approves the investor or project in writing, (ii) all legal documentation, including referral agreement, NDA, and project contracts, is fully executed, and (iii) the relevant project reaches the contract-defined commercial milestone and audited net profit is realised.
